Once the founding documents are ready, we will arrange the notary appointment for you. The articles of association must be notarized. The notarization takes place entirely online by video. You also show your ID online and sign using an electronic signature.
After notarization, you must open a bank account for the GmbH. At least half of the share capital, i.e. 12,500 euros, must be paid into the account. Once the money is in the account, the GmbH is entered in the commercial register. Once registered, your GmbH is complete!
The articles of association of a GmbH must be notarized. Previously, you had to appear in person at the notary's office. With the implementation of the EU Digitization Directive (2019/1151), it has been possible in Germany since 01.08.2022 to have the GmbH articles of association notarized online by video. Even if you or several shareholders are based abroad, online incorporation works.
A GmbH can be founded by any person regardless of citizenship. Companies themselves, such as a GmbH or UG (haftungsbeschränkt), can also be shareholders in a new GmbH. Whether it is possible to set up a GmbH online depends on whether you can prove your identity online. This requires an ID document with an eID function. The new German ID card (issued since 02.08.2021), the EU citizen card and the electronic residence permit for citizens of non-EU countries have such a function. Anyone who has a German ID card that has been issued since 2017 must have activated the online function of the ID card and also needs a passport.
You need a smartphone with the notary app, a laptop, PC or tablet with camera and microphone and an ID card with online function (eID) for online incorporation.
You can use the notary app to receive your appointment, exchange documents and chat with your notary. The notarization itself takes place via video. You present your ID to the notary via the notary app by holding your ID with eID function to the back of your smartphone. You sign your articles of association with an electronic signature. You also generate this signature using the notary app.
High security standards apply to online notarization. Only the video system and the notary app of the Federal Chamber of Notaries may be used for online notarization. These technical tools have been specially created to ensure a high level of protection and security. Users are securely identified without their personal data being passed on to unauthorized persons. The electronic signature at the end of the notarization process is protected against subsequent falsification.
First of all, you need to plan a capital investment of EUR 25,000 . The GmbH must have at least EUR 25,000. In addition, there are the founding costs. You can find the rough costs you should expect in our sample calculation.
In our sample calculation, we assume a model protocol foundation . A model company formation protocol is characterized by the fact that the legally prescribed articles of association must be used. No individual provisions are possible. On the other hand, the formation costs are considerably lower.

If you do not want to pay the EUR 25,000 plus notary fees, but at the same time do not want to forego the exclusion of personal liability, you can set up a UG (haftungsbeschränkt). The UG (haftungsbeschränkt) only needs to have EUR 1.00 share capital. In practice, however, capital of at least EUR 500-1,000 is recommended in order to make the company insolvency-proof.
If you want to get started straight away and don't want to wait for the notary appointment and entry in the register, you can set up a GbR. A GbR is formed exclusively by contract between the partners. This contract can be concluded without observing any form. However, the GbR partners have unlimited personal liability for all obligations arising from the company.
