Once the founding documents are ready, we will arrange the notary appointment for you. The articles of association must be notarized. The notarization takes place entirely online by video. You also show your ID online and sign using an electronic signature.
After notarization, you must open a bank account for the GmbH. At least half of the share capital, i.e. 12,500 euros, must be paid into the account. Once the money is in the account, the GmbH is entered in the commercial register. Once registered, your GmbH is complete!
In order to set up a UG (haftungsbeschränkt) online, the articles of association must be notarized. Since 01.08.2022 it has been possible to carry out the notarization online by video due to the implementation of the EU Digitization Directive (2019/1151). This currently only applies to cash formations. From summer 2023, non-cash formations are to be added.
Anyone who can identify themselves online can set up a UG (haftungsbeschränkt) using the online procedure. A document with an eID function is required to identify yourself online. ID cards that have been issued since 02.08.2021 have a corresponding function. The online function on older ID cards must first be activated. A passport is also required. EU citizens can use the EU Union Citizen Card and citizens of third countries can apply for an electronic residence permit.
For online incorporation, you need a smartphone with the notary app. You can obtain this app from any app store. You must also have a laptop, PC or tablet with a camera and microphone and an ID card with an online function (eID).
You can use the notary app to make appointments with your notary, chat with your notary and exchange documents. The notarization process itself takes place via video. When the notary asks you to identify yourself, you need to hold your ID card up to the back of your smartphone. Finally, you sign your articles of association using an electronic signature. The signature is generated via the notary app.
High security standards apply to online notarization. Only the technical applications created by the Federal Chamber of Notaries may be used. The video communication system approved for this purpose and the notary app guarantee a high level of protection. It is ensured that users are securely identified without personal data being passed on to unauthorized persons.
While the GmbH requires at least EUR 25,000 in share capital, the deposits for the UG (haftungsbeschränkt) may be lower. In fact, only EUR 1.00 is required by law. However, such a low share capital is generally not sufficient, as the UG would be immediately insolvent. In practice, a capital of 500.00 to 1,000.00 euros is recommended.</p
In the example calculation below, we have based the calculation on a sample company formation protocol. The model protocol formation is characterized by the fact that the legally prescribed articles of association must be used. This means that no individual provisions are possible. On the other hand, the formation costs are considerably lower.

If you are not afraid of the investment and can raise 25,000 euros in share capital, you have the option of founding a GmbH directly. The formation costs, i.e. notarization of the articles of association and entry in the commercial register, are the same for both companies.
If you don't want to wait long but want to get started straight away, you can set up a GbR. The GbR can be founded directly by concluding a partnership agreement. The contract does not require any particular form. However, it should be noted that the partners of a GbR have unlimited personal liability for all of the company's obligations.
